    一、 雙方本著合法、公平、平等自愿、協(xié)商一致、誠實信用的原則和友好合作的精神，自愿簽訂本合同并保證認(rèn)真履行合同約定的各項義務(wù)。
I. The two parties, in a spirit of friendly cooperation and based on legality, equity, free will, consensus and good faith, conclude this contract and pledge to fulfill conscientiously all the obligations as stipulated.
二、 合同期自　　年　月　日起至　　年　月　日止，其中第一個月為試用期。

三、 受聘方的工作任務(wù)見附件。
Ⅲ. Duties of Party B (see attachment)

Ⅳ. The monthly salary before tax of Party B shall be RMB__     , __ % of which can be converted into foreign currency monthly. See attachment for other kinds of gains.
五、 聘方的義務(wù)：
Ⅴ. Obligations of Party A
    （一） 向受聘方介紹中國有關(guān)法律、法規(guī)和聘方有關(guān)工作制度，以及有關(guān)外國專家的管理規(guī)定。
(I) Party A shall introduce to Party B the relevant laws, regulations, working systems, and regulations concerning management of foreign experts.
（二） 對受聘方的工作進(jìn)行指導(dǎo)、檢查和評估。
(II) Party A shall direct, supervise and evaluate the work of Party B.
（三） 向受聘方提供必要的工作和生活條件。
(III) Party A shall provide Party B with necessary working and living conditions.
（四） 配備合作共事人員。
(IV) Party A shall provide co-workers for Party B.
（五） 按時支付受聘方的報酬。
(V) Party A shall pay remuneration regularly for Party B.
六、 受聘方的義務(wù)：
Ⅵ. Obligations of Party B
（一） 遵守中國的法律、法規(guī)，不干預(yù)中國的內(nèi)部事務(wù)。
(I) Party B shall observe the relevant laws and regulations enacted by the Chinese government and shall not interfere in China's internal affairs.
（二） 遵守聘方的工作制度和有關(guān)外國專家的管理規(guī)定，接受聘方的工作安排、業(yè)務(wù)指導(dǎo)、檢查和評估。未經(jīng)聘方同意，不得兼職。
(II) Party B shall observe Party A's working systems and regulations concerning management of foreign experts and shall accept Party A's arrangement, direction, supervision and evaluation in regard to his/her work. Without the consent of Party A, Party B shall not render service elsewhere or hold concurrently any post unrelated to the work agreed on with Party A.
    （三） 按期完成工作任務(wù)，保證工作質(zhì)量。
(III) Party B shall complete the tasks agreed on schedule and guarantee the quality of work.
（四） 尊重中國的宗教政策。不從事與身份不符的活動。
(IV) Party B shall respect China's religious policies, and shall not conduct religious activities incompatible with the status of an expert.
（五） 尊重中國人民的道德規(guī)范和風(fēng)俗習(xí)慣。
(V) Party B shall respect the moral standards and customs of Chinese people.
七、 合同的變更、解除和終止：
Ⅶ. Modification, cancellation and termination of the contract
雙方應(yīng)信守合同，未經(jīng)雙方一致同意，任何一方不得擅自變更、解除和終止合同。
Both parties shall abide by the contract and shall refrain from modifying, canceling or terminating the contract without mutual consent.
    （一） 合同的變更。經(jīng)當(dāng)事人雙方協(xié)商同意后，可以變更。在未達(dá)成一致意見前，仍應(yīng)當(dāng)嚴(yán)格履行合同。
(I) The contract can be modified with mutual consent. Before both parties have reached an agreement, the contract should be strictly observed.
（二） 合同的解除。經(jīng)當(dāng)事人雙方協(xié)商同意后，可以解除合同。在未達(dá)成一致意見前，仍應(yīng)當(dāng)嚴(yán)格履行合同。
(II) The contract can be canceled with mutual consent. Before both parties have reached an agreement, the contract should be strictly observed.
1、 聘方在下述條件下，有權(quán)以書面形式通知受聘方解除合同：
1. Party A has the right to cancel the contract with a written notice to Party B under the following conditions;
（1） 受聘方不履行合同或者履行合同義務(wù)不符合約定條件，經(jīng)聘方指出后，仍不改正的。
(1) Party B does not fulfill the contract or does not fulfill the contractual obligations according to the terms stipulated, and has failed to amend after Party A has pointed it out.
（2） 根據(jù)醫(yī)生診斷，受聘方在病假連續(xù)30天后不能恢復(fù)正常工作的。
(2) According to the doctor's diagnosis, Party B cannot resume normal work after 30 consecutive days of sick leave.
2、  受聘方在下述情況下，有權(quán)以書面形式通知聘方解除合同：
2. Party B has the right to cancel the contract with a written notice to party A under the following conditions:
  （1）聘方未按合同約定提供受聘方必要的工作和生活條件；
（1）Party A fails to provide Party B with necessary working and living conditions as stipulated herein.
（2）聘方未按時支付受聘方報酬。
(2) Party A fails to pay remuneration for Party B on time.
3、當(dāng)事人一方要求解除合同，應(yīng)提前30天以書面形式向另一方提出，30天以后方可解除合同。
3. The party which intends to cancel the contract shall inform in writing the other party 30 days in advance. 
4、雙方協(xié)商一致，可以解除合同。
4. The contract can cancelled after negotiation by both parties.
（三）合同的終止。
(III) Termination of the contract
1、 合同期滿該合同即告終止。
1. The contract shall be terminated when it expires.
2、經(jīng)當(dāng)事人雙方協(xié)商同意后，也可以終止該合同。在未達(dá)成一致意見前，仍應(yīng)當(dāng)嚴(yán)格履行合同。
2. The contract can be terminated after negotiation by both parties. Before both parties have reached an agreement, the contract should be strictly observed.
八、違約金：
Ⅷ. Breach penalty
當(dāng)事人一方不履行合同或者未完全履行合同所規(guī)定的義務(wù)，即為違反合同，應(yīng)當(dāng)向另一方支付800-3000美元或相當(dāng)于受聘方月工資3到10倍數(shù)額人民幣的違約金。如雙方認(rèn)為有必要約定確切數(shù)額或更高或更低的違約金，應(yīng)當(dāng)在合同附件中寫明。
When either of the two parties fails to fulfill the contract or fails to fully fulfill the contractual obligations according to the terms stipulated, it shall be deemed as a breach of the contract, and the breaching party has to pay the other party US$800 to 3,000 (or three to ten times of the RMB equivalent of Party B’s monthly salary) as a penalty. When both parties consider it necessary to determine a lower or higher sum as penalty, the sum should be clarified in the attachment.
受聘方因不可抗力事件要求解除合同，需出具有關(guān)機(jī)構(gòu)證明。經(jīng)聘方同意解除合同后，受聘方離華的費(fèi)用自理；受聘方若無故解除合同，除離華費(fèi)用自理外，還應(yīng)當(dāng)向聘方支付違約金。
If Party B requires to cancel the contract due to force majeure, it shall produce certifications by the department concerned. With the consent of Party A for termination of the contract, Party B should pay its own return expenses; if Party B cancels the contract without valid reasons, it should pay return expenses and breach penalty for Party A.
    聘方因不可抗力事件要求解除合同，經(jīng)受聘方同意解除合同后，受聘方離華費(fèi)用由聘方負(fù)擔(dān)；聘方若無故解除合同，除負(fù)擔(dān)受聘方離華費(fèi)用外，還應(yīng)當(dāng)向受聘方支付違約金。
If Party A asks to cancel the contract due to force majeure, with the consent of Party B, it shall pay Party B the return expenses; if Party A cancels the contract without valid reasons, it shall pay return expenses and breach penalty for Party B.
九、 本合同附件為合同不可分割的組成部分，與合同具有同等法律效力。
Ⅸ. The attachment of this contract is an inseparable part of the contract and has equal effect.
十、 本合同自雙方簽字之日起生效，合同期滿即自行失效。當(dāng)事人一方要簽訂新合同，應(yīng)當(dāng)在本合同期滿30天前向另一方提出，經(jīng)雙方協(xié)商一致同意后簽訂新的合同。
Ⅹ. This contract shall take effect on the date signed by both parties and shall be automatically invalidated when it expires. Should either of the two parties want to sign a new contract, it should forward its request to another party 90 days prior to the expiration of the contract, and sign the new contract with mutual consent.
受聘方合同期滿后，在華逗留期間的一切費(fèi)用自理。
Party B shall bear all expenses incurred when staying on after the contract expires.
十一、 合同爭議解決方式
Ⅺ. Settlement of disputes
    當(dāng)事人雙方發(fā)生合同爭議時，盡可能通過協(xié)商或者調(diào)解解決。若協(xié)商、調(diào)解無效，可向當(dāng)?shù)厝耸禄騽趧又俨脵C(jī)構(gòu)申請仲裁。對仲裁結(jié)果不服的，可向人民法院提起訴訟。
The two parties shall consult with each other and settle any disputes concerning the contract. If no agreement is made, the two parties can appeal to the local personnel or labor dispute arbitration institution for arbitration; if either party disagrees with the arbitration award, it may file a proceeding with the People’s Court.
